Terms of Use

These terms govern your use of www.simpleplanit.com. They cover what you can do with our content and tools, what we promise (and what we don't), and how disputes get resolved.

Acceptance of these terms

These Terms of Use (“Terms”) form a binding agreement between you and Simple Plan IT (“Simple Plan IT,” “we,” “us,” or “our”) and govern your access to and use of www.simpleplanit.comand any related pages, content, tools, and features (the “Site”).

By accessing or using the Site, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, do not use the Site.

About us

Simple Plan IT is a cybersecurity and GRC firm operating under the laws of the State of Ohio, United States. Where these Terms refer to Simple Plan IT as a contracting party, they refer to that firm.

License to use the Site

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own personal or internal business purposes.

This license does not include any right to resell, redistribute, or commercially exploit the Site or its content, or to use the Site in any manner not expressly permitted by these Terms.

Acceptable use

When using the Site, you agree that you will not:

  • Use the Site in any way that violates applicable law or regulation.
  • Use automated systems (including scrapers, crawlers beyond standard search-engine indexing, or AI training pipelines) to extract, copy, or harvest content from the Site without our prior written consent.
  • Attempt to interfere with, disrupt, or compromise the security or integrity of the Site, including by introducing malware or attempting to gain unauthorized access.
  • Reverse engineer, decompile, or attempt to derive the source code or underlying systems of the Site.
  • Submit a domain to the Exposure Snapshot that you do not own or are not authorized to assess (see Section 7).
  • Use automated means to run the Exposure Snapshot, run it at volume, or use it to compile, monitor, or build a dataset of information about domains or organizations other than your own.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity, when contacting us through the Site.

Intellectual property

The Site, including all text, briefings, graphics, logos, design, code, illustrations, photographs, and arrangement of the foregoing, is owned by Simple Plan IT or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may share short quotations or excerpts from our briefings in good faith for commentary, criticism, education, or news reporting, with attribution to Simple Plan IT and a link back to the original page. You may not republish entire articles, modify our content and present it as your own, or use our content to train or fine-tune machine learning models without our prior written consent.

“Simple Plan IT,” “See. Verify. Respond.,” “Operational Security Intelligence,” and our logos are trademarks of Simple Plan IT. You may not use them without our prior written consent except to refer accurately to us or to our work.

Third-party content and embeds

The Site contains third-party content and embedded services, including a booking calendar (Lunacal). Your use of those services is governed by the terms and privacy policies of the respective providers.

We are not responsible for the availability, accuracy, or content of any third-party services linked from or embedded on the Site, and including such services does not imply our endorsement of them.

The Exposure Snapshot

The Exposure Snapshot is a free tool that reports on a domain you submit, using publicly available information about that domain. By using it, you agree to the following:

  • Authorized use only. You may submit only a domain you own or are otherwise authorized to assess. You are responsible for ensuring you have that authority.
  • Informational, not a guarantee. The Snapshot is provided for general informational purposes. It reflects publicly available data at a point in time, may be incomplete or inaccurate, and is not a guarantee, certification, or assurance that any system is or is not secure.
  • No professional relationship. Running the Snapshot does not create a consulting, security-services, or other professional relationship between you and Simple Plan IT, and is not a substitute for a scoped security assessment.
  • As is.The Snapshot and its results are provided “as is” and “as available,” subject to the disclaimers in Section 9 and the limits in Section 10.

Informational content; no professional advice

The briefings, frameworks, and other content on the Site are published for general informational and educational purposes. They reflect our views and analysis at the time of publication and may change over time without notice.

Nothing on the Site constitutes legal, accounting, tax, compliance, security, or other professional advice for your specific situation. Reading our content, running the Exposure Snapshot, contacting us, or booking a risk call does not, by itself, create a consulting-client or any other professional relationship between you and Simple Plan IT. Such a relationship, and any security or compliance services, are established only by a separate, written engagement, governed by our Master Services Agreement and the applicable Statement of Work.

No warranty

The Site and its content and tools are provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, Simple Plan IT disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and availability.

We do not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that any defects will be corrected.

Limitation of liability

To the fullest extent permitted by applicable law, Simple Plan IT and its members, managers, officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, business opportunity, or goodwill, arising out of or in connection with your use of, or inability to use, the Site, its content, or the Exposure Snapshot, even if we have been advised of the possibility of such damages.

In no event will our aggregate liability for any claim arising out of or relating to the Site exceed one hundred U.S. dollars (US$100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of this section may not apply to you. This section governs your use of the Site only; liability under a paid engagement is governed by the applicable Master Services Agreement and Statement of Work.

Indemnification

You agree to defend, indemnify, and hold harmless Simple Plan IT and its members, managers, officers, employees, contractors, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your submission of a domain you were not authorized to assess, your violation of these Terms, or your violation of any rights of a third party.

Privacy

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

Changes to the Site and to these Terms

We may modify, suspend, or discontinue the Site, or any part of it, at any time and without notice. We may also revise these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page and, where the change is material, provide additional notice. Your continued use of the Site after the revised Terms become effective constitutes acceptance of the revised Terms.

Termination

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or applicable law, or for any other reason at our discretion. The provisions of these Terms that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and the provisions of Section 15.

Governing law and venue

These Terms are governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and Simple Plan IT agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Franklin County, Ohio, and you consent to the personal jurisdiction of those courts. To the extent permitted by applicable law, you and Simple Plan IT waive any right to a jury trial and any right to participate in a class action or representative proceeding.

Miscellaneous

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.

These Terms, together with our Privacy Policy, are the entire agreement between you and Simple Plan IT regarding the Site and supersede any prior agreements on that subject. They do not supersede the Master Services Agreement or any Statement of Work governing a paid engagement. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, sale of assets, or by operation of law.
